SOFTWARE EVALUATION LICENSE AGREEMENT FOR JVISION 1.4

Parties; Nature of Agreement:
  This software evaluation license agreement ("Agreement") is between
Object Insight, Inc., a Michigan corporation with offices at 506 North
State Street, Ann Arbor, Michigan 48104 ("OI") and the party accepting
the license in the manner set forth below ("you").  This Agreement
outlines the terms and conditions under which OI licenses to you
certain computer software programs downloaded from OI's website, or
otherwise provided to you ("Software"). This document describes the
terms under which you may have a copy of the Software in order to
evaluate it for possible licensing.

Use of Software:
  You have a nonexclusive, nontransferable license to load and execute
the Software for a period of fifteen (15) days.  You have no right
to reproduce, modify, distribute copies, or disclose the Software.
You have no right to publish diagrams while this Agreement is in
effect.  OI owns the copyrights, trade secrets, and trademarks in the
Software.  You agree to not reverse engineer, disassemble or decompile
the Software, and to not provide the Software to any third parties.
The Software shall not be provided to independent contractors or other
third parties without prior written approval from OI.  You acknowledge
that the source code made available pursuant to this Agreement is a
trade secret of OI, and cannot be used by you, either in whole or in
part, except in connection with this Agreement.

Acceptance of License Terms:
  This Agreement shall be complete when you download the Software from
OI's website in accordance with the instructions provided there or
when you otherwise receive it.

THIS SOFTWARE IS PROVIDED FOR TEST PURPOSES ONLY AND NOT FOR BUSINESS
APPLICATION.  AS SUCH, IT IS PROVIDED AS IS, WITH NO WARRANTIES
WHATSOEVER, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION,
ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability for Damages:
  You assume sole responsibility for use of the Software in connection
with this evaluation.  OI shall not be liable for damages or costs of
any kind, including incidental, consequential, special or indirect
damages, or for lost profits or business interruption losses in
connection with the Software under any theory of recovery, including
contract, negligence, strict liability or warranty.

Termination:
  The Software contains a feature that will automatically disable the
Software after fifteen (15) days of execution.  OI will have no 
liability to you if the Software is disabled by this feature.  You may
not disable, destroy, or remove this feature of the Software, and any
attempt to do so will terminate your license and rights under this 
Agreement.  You may allow the Software to become disabled, in which 
event this Agreement will be deemed terminated.

Purchase:
  To purchase the software you must download a different copy of the
software that is specified as the full product, complete the purchase,
and obtain a serial number that is necessary for installation.
 
General Provisions:
  The license may be terminated at any time by either party.  The
confidentiality provisions continue so long as the information is
maintained by OI as confidential.  This Agreement shall be governed by
the laws of the State of Michigan and the copyright laws of the United
States.  This Agreement contains the full understanding of the parties
and supersedes all prior understandings and writings.
